Terms and Conditions

Supply

The system is provided by us to your organisation via a time limited license agreement.

You agree that...

  • The provider has not made any claims as to the suitablity of the system for your organisation that your organisation was not satisfied with at the time of signing the license agreement.
  • The provider informed your organisation prior to licensing to make an informed choice. The provider supplied the name and address of an existing user of the system to provide independant feedback.
  • The provider has made you and your organisation aware of the dependancies of Third Parties for the successful operation of the system, and where necessary, you agree to abide by any license, restriction or relationship placed by a Third Party.
  • The provider has made your organisation aware that the system requires an internet connection.
  • Your organisation is aware that the data is hosted on the cloud, within the EU.

License Terms

Your organisation is licensed to use the product for the duration of the license period agreed.

You may not make any attempt to hack, reverse engineer or otherwise seek to damage the system or it's operation.

You may not share your login details with anyone else.

All copyright is the property of the Provider


Liabilities

In no event shall the provider be liable to you or any party related to you or your organisation for any indirect, incidental, consequential, special, exemplary, or punitive damages or lost profits, even if the provider has been advised of the possibility of such damages. In any event, the provider's total aggregate liability to you for all damages of every kind and type (regardless of whether based in contract or tort) shall not exceed the monthly price of the product.


GDRP

The provider is registered with the Information Commissioners Office (ICO) as a Data Controller for the purposes of the Data Protection Act and GDPR Legislation. It is your organisation's responsibility to ensure you are registered with the ICO and any other relevant body to ensure your organisation's compliance with all applicable Data and Privacy laws in you juristiction, for any applicable rules that apply to your organisation's use of the data.


Termination

The license can be terminated by either party with a minimum of 30 days notice, in writing, for any reason.

If termination is by us...

  • Where payment has been made beyond that time period, licensing costs will be refunded for the duration remaining.
  • Refunds will be issued for any Third Party services outstanding at the time of termination, not exceeding the sum of £50 per service.
  • Facilities will be provided to your organisation in order that your data can be exported.

If termination is by your organisation...

  • Where payment has been made beyond that time period, refunds will be issued for the duration remaining to the nearest whole month.
  • No refunds will be issued for any Third Party services outstanding at the time of termination.
  • Facilities will be provided to your organisation in order that your data can be exported. If termination is before the end of the license agreement time frame, a small admin charge, not exceeding £100, may be payable.
